Terms of engagement.

The standard terms that apply to every Rumney Clinical engagement.

These terms apply to every engagement unless the written scope for that engagement says otherwise. If the written scope and these terms conflict, the written scope takes priority.

1. Who you are contracting with

Rob Rumney, a sole trader trading as Rumney Clinical. Work is carried out personally by Rob Rumney.

2. Scope

The services, deliverables, timing and fee for each engagement are set out in a written scope agreed before work starts. Work outside that scope is agreed and priced separately.

3. Your materials

You confirm you have the right to share the prompts, outputs, documents and other materials you supply. Please do not supply patient-identifiable information unless separate written data arrangements are in place. The work relies on the accuracy and completeness of the materials you supply.

4. What the work is, and what it is not

The work is independent clinical evaluation and advice to support your team's decisions. Findings can be used as input to your clinical risk management, including a DCB0129 hazard log and clinical safety case.

It is not regulatory approval, a medical device assessment, or acting as your Clinical Safety Officer or signing off your safety case. No review can guarantee that an AI system is safe or that every failure has been identified. Your organisation remains responsible for its clinical governance, regulatory compliance and decisions about whether and how to deploy, change or market its product.

5. Fees and payment

Fees are as stated in the written scope. Unless agreed otherwise, I invoice on delivery and payment is due within 14 days of the invoice date. VAT is added only where it applies.

6. Confidentiality

We each keep the other's confidential information confidential and use it only for the engagement. I will not use your materials for any other client. I will only name you as a client with your written permission.

7. Intellectual property

Once the fee is paid, you own the deliverables created specifically for you. I keep ownership of my existing methods, templates and general know-how, and you may use any of these that are included in your deliverables for your own purposes.

8. Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Subject to that, my total liability arising out of or in connection with an engagement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees paid for that engagement.

I am not liable for loss of profit, revenue, business, contracts, goodwill or data, or for any indirect or consequential loss. I am not liable for loss arising from inaccurate or incomplete materials you supply, or from your decisions to deploy, change or rely on your product.

9. Ending an engagement

Either of us can end an engagement by written notice. You pay for work completed up to that point.

10. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
